1. Introduction
These Terms of Service ("Terms") govern your use of the website located at https://dasdey.ca (the "Site") and the services offered by Dasdey Behavioural Services Inc. ("Dasdey," "we," "us," or "our"), an Ontario corporation headquartered in Pickering, Ontario. By accessing the Site or engaging Dasdey for services, you agree to be bound by these Terms.
2. Scope of Services
Dasdey coordinates behavioural support services delivered by a network of independent contractor associates. Services include specialized behavioural support, autism support, respite, school and day program support, residential support, and community participation support, subject to associate availability and engagement-specific terms. Nothing on the Site constitutes an offer to supply services until a separate written engagement contract is signed.
3. Associate Network and Independent Contractor Model
All associates engaged through Dasdey are independent contractors, not employees or agents of Dasdey beyond the scope set out in the Master Independent Contractor Agreement and each specific engagement contract. Associates operate their own businesses, set their own methods of service delivery within the scope of each engagement, and carry their own insurance. Dasdey does not direct day-to-day methods, guarantee any specific engagement, or create an employment relationship with any associate.
4. User Conduct
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. Prohibited activities include harassing or abusive conduct, uploading malicious code, scraping at a rate that degrades performance, or misrepresenting your identity or affiliation.
5. Intellectual Property
All content on the Site, including text, graphics, logos, and images, is the property of Dasdey or its licensors and is protected by Canadian and international intellectual property laws. You may view and print content for personal, non-commercial use only. Any other use requires written permission.
6. Disclaimers
The Site and its content are provided "as is" without warranty of any kind, express or implied. Information on the Site is provided for general informational purposes and does not constitute clinical, legal, or financial advice. Specific care recommendations are made only through formal intake and engagement contracts with Dasdey.
7. Limitation of Liability
To the fullest extent permitted by law, Dasdey, its officers, directors, and associates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Site or the services, even if advised of the possibility of such damages. Direct liability is limited to amounts paid to Dasdey by the claimant in the twelve months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless Dasdey, its officers, directors, associates, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by the courts of Ontario, and you consent to the exclusive jurisdiction of those courts. The parties shall first attempt in good faith to resolve any dispute through direct negotiation before commencing proceedings.
10. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
